1. Who we are

FleetYield ("FleetYield", "we", "us", "our") is a software service provided by MEK Staffing Solutions. By using FleetYield, you ("you", "user") agree to these Terms & Conditions. If you are using FleetYield on behalf of an organization, you confirm that you have authority to bind that organization.

2. The service

FleetYield is a web-based application that helps fleet operators track trips, expenses, mileage, depreciation, and tax-related reporting for vehicles rented through Turo and similar platforms. We do not guarantee that the service will be uninterrupted, error-free, or always available.

3. Acceptable use

You agree not to misuse the service. In particular, you will not:

• use the service for any unlawful, fraudulent, or abusive purpose;
• upload malware, send spam, or attempt to probe, scan, or interfere with the security or integrity of the service;
• infringe anyone's intellectual property or privacy rights;
• scrape, reverse engineer, resell, or redistribute the service or its data; or
• circumvent technical or usage limits.

You are responsible for the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and keep it up to date.

4. Intellectual property

MEK Staffing Solutions retains all right, title, and interest in and to FleetYield, including the software, documentation, design, and branding. We grant you a limited, non-exclusive, non-transferable right to use the service in accordance with your subscription plan.

You retain ownership of the content you submit. You grant us a limited license to host and process that content solely to provide the service.

5. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellations, and refund mechanics are governed by Paddle's Checkout Buyer Terms and our Refund Policy.

Subscriptions renew automatically at the end of each billing period until canceled. You can cancel at any time through the customer portal accessible from your billing settings.

6. Suspension and termination

We may suspend or terminate your access to FleetYield if you materially breach these terms, fail to pay applicable fees, present a security or fraud risk, or repeatedly or seriously violate our policies. When access ends, you may export your data within a reasonable window before it is deleted.

7. Disclaimers

FleetYield is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. FleetYield's reports and calculations are provided for informational purposes and are not a substitute for professional tax, legal, or accounting advice.

8. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the service is limited to the fees you paid to us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or loss of goodwill. Nothing in these terms excludes liability where it cannot lawfully be excluded.

9. Indemnification

You agree to indemnify and hold harmless MEK Staffing Solutions from any claims arising from your content, your unlawful use of the service, or your violation of these terms.

10. Changes to these terms

We may update these terms from time to time. If we make material changes, we will notify you through the service or by email. Continued use after the changes take effect constitutes acceptance.

11. Governing law

These terms are governed by the laws of the jurisdiction in which MEK Staffing Solutions is established, without regard to its conflict-of-laws rules. Disputes will be resolved in the competent courts of that jurisdiction.
